1. What This Agreement Covers

This agreement spells out what AI-City will build and maintain for Carver Brothers Turf LLC ("Client"), what it costs, and what each side is responsible for. Plain English, no surprises.

2. Services Provided

A. One-Time Setup — $600

Setup includes:

• AI agent configured with business-specific knowledge (services, pricing, service area, FAQs)

• Google Calendar integration for appointment scheduling
• Bilingual English/Spanish capability
• SMS and web chat functionality
• Initial testing and go-live support

B. Monthly Service — $299/month

Your monthly fee covers everything the AI agent needs to run and improve:

• AI Voice Agent — Answers calls 24/7 on your dedicated 336 number, handles inquiries, books appointments, and captures leads
• AI Chat & SMS Agent — Responds to website chat and text messages in real time
• Bilingual Support — English and Spanish
• Google Calendar Integration — Appointments scheduled directly to your calendar
• Unlimited Usage — No per-minute fees, no per-call charges, no usage caps
• Direct Support — Reach us anytime via Telegram chat for questions, changes, or issues
• Ongoing Updates — We continuously update and improve your AI agent's knowledge base, responses, and capabilities as your business evolves

C. Annual Website Hosting — $499/year

• Website hosting and maintenance
• Domain management for: carverbrosturf.com, carverturf.com, bioplots.com, ncsod.com
• SSL certificates (HTTPS security)
• DNS management
• Email routing and configuration

3. Billing & Payment

• Setup fee: $600 due upon signing this agreement, before work begins.
• Monthly service: $299 billed on the 1st of each month. First month is prorated if service starts mid-month.
• Annual hosting: $499 billed annually on the anniversary of the service start date.
• Payment method: Credit card, ACH, or other method agreed upon by both parties.
• Late payments: If payment is more than 15 days past due, AI-City may suspend services until the account is brought current. We'll always reach out first before taking that step.

4. No Long-Term Lock-In

This is a month-to-month agreement. There is no annual contract or long-term commitment required for the AI agent service. You're here because it works, not because you're stuck.

5. Cancellation & Termination

• By Client: You may cancel services with 60 days written notice (email or Telegram message to AI-City). Services continue through the end of the notice period.
• By AI-City: We may terminate this agreement with 60 days written notice if we're unable to continue providing services. In the event of a material breach by either party (non-payment, misuse, etc.), the other party may terminate with 15 days written notice if the issue isn't resolved within that time.

After cancellation:

• Your dedicated phone number may be released after service ends. If you'd like to port it, let us know during the notice period and we'll assist.
• Your website will remain live through the end of your paid hosting period.
• We'll provide an export of your business data (call logs, chat transcripts, lead information) upon request.
• Unused portions of annual hosting fees are non-refundable but will be honored through the paid period.

6. What AI-City Owns vs. What You Own

AI-City retains ownership of:

• All AI systems, models, configurations, prompts, workflows, and technical infrastructure
• The underlying technology, code, and architecture that powers your AI agent
• Any tools, templates, or frameworks developed by AI-City

You (the Client) own:

• Your business data, including call recordings, chat logs, lead information, and customer details
• Your business content (service descriptions, pricing, FAQs provided to us)
• Your domain names (carverbrosturf.com, carverturf.com, bioplots.com, ncsod.com)

7. AI Accuracy & Limitations

Let's be upfront about what AI can and can't do:

• AI is not perfect. Our AI agent is designed to be helpful and accurate, but it may occasionally provide incomplete or inaccurate information. It's technology, not a human expert.
• Not a substitute for professional advice. The AI agent provides general business information and scheduling assistance. It does not provide legal, financial, medical, or other professional advice.
• Continuous improvement. We actively monitor and update the AI agent to improve accuracy. If you notice errors, let us know via Telegram and we'll fix them promptly.
• Client responsibility. You are responsible for providing accurate, up-to-date business information (pricing, services, availability) for the AI to relay. If your info changes, tell us so we can update the agent.

8. Data Handling & Privacy

We take your data and your customers' data seriously:

• Call recordings and chat logs are stored securely and used for service delivery and improvement (training the AI, resolving disputes, quality assurance).
• We do not sell or share your data with third parties. Period. The only exceptions are: (a) service providers essential to delivering the service (cloud hosting, telephony), who are bound by their own data protection obligations, and (b) if required by law.
• Customer data collected through calls, chats, and SMS belongs to you and will be made available to you upon request.
• Call recording disclosure: Calls handled by the AI agent may be recorded. It's your responsibility to ensure appropriate call recording disclosures comply with applicable state and federal laws (North Carolina is a one-party consent state, but callers from other states may have different requirements).
• Data retention: We retain call recordings and chat logs for the duration of our service relationship plus 90 days. After that, data is deleted unless you request an export.

9. Service Availability

• We aim for 99.5% uptime for the AI voice and chat services. Occasional maintenance windows may be necessary and will be scheduled during off-peak hours when possible.
• If a service outage occurs, we'll notify you promptly via Telegram and work to resolve it as quickly as possible.
• Uptime does not include interruptions caused by third-party services (telephony providers, internet outages), force majeure events, or scheduled maintenance.

10. Support

• Primary support channel: Direct Telegram chat with AI-City
• Response time: We aim to respond to support requests within a few hours during business hours (Mon–Sat, 8 AM–8 PM ET). Urgent issues (service is completely down) will be prioritized.
• What's included: Configuration changes, knowledge base updates, troubleshooting, general questions
• What's not included: Complete redesigns of the website or AI agent beyond the original scope (those would be quoted separately)

11. Acceptable Use

You agree not to use the AI services for:

• Any illegal, fraudulent, or deceptive purpose
• Harassment, threats, or abusive communication
• Generating spam calls or messages
• Any purpose that violates federal, state, or local telecommunications regulations

AI-City reserves the right to suspend service immediately if we become aware of prohibited use.

12. Indemnification

Each party agrees to indemnify the other against third-party claims arising from their own negligence or breach of this agreement. Client indemnifies AI-City against claims arising from Client's business operations, the content provided to the AI, or Client's failure to provide accurate business information.

13. Dispute Resolution

If a disagreement arises, let's talk it out first. Both parties agree to attempt good-faith resolution through direct communication before pursuing any formal action. If that doesn't work, disputes will be resolved through binding arbitration in the state of North Carolina, under the rules of the American Arbitration Association.

14. Changes to This Agreement

AI-City may update this agreement from time to time. We'll notify you of any material changes at least 30 days in advance via Telegram or email. Your continued use of services after the change takes effect means you accept the updated terms.

15. Entire Agreement

This document is the complete agreement between AI-City and Carver Brothers Turf LLC. It replaces any previous conversations, emails, or promises about these services. Any changes must be agreed to in writing by both parties.
